ℹ️ TUPE — Transfer of Undertakings — Legal background

TUPE (Transfer of Undertakings (Protection of Employment)) Regulations 2006 protect employees when a business or service is transferred. Employees automatically transfer to the new employer on the same terms. Both outgoing and incoming employers must inform employee representatives (or employees directly in small businesses) of the transfer details at least 28 days before.

  • Employees transfer automatically — they cannot be dismissed for TUPE alone
  • Terms and conditions protected for 4 years after transfer (2014 amendment)
  • Employer must inform and consult employee representatives
  • Small businesses (<10 employees) can inform employees directly
  • ETO (Economic Technical Organisational) reason needed to change terms
