ℹ️ IP Assignment Agreements — Legal background

An IP assignment permanently transfers ownership of intellectual property. This differs from a licence (which grants permission to use). Assignments of registered IP must usually be in writing and recorded at the IPO.

  • Assignments of patents must be in writing (Patents Act 1977)
  • Copyright assignments must be in writing signed by assignor
  • Moral rights cannot be assigned (only waived)
  • Trade mark assignments should be recorded at IPO
  • Consider whether a licence is more appropriate
