ℹ️ Debt Assignments — Legal background

A debt can be assigned (sold) from the original creditor to a third party. A legal assignment under s.136 Law of Property Act 1925 transfers the debt absolutely if: it is in writing, is absolute (not conditional), and written notice is given to the debtor. Without proper notice, the assignment is equitable only.

  • Legal assignment: must be absolute, in writing, and notice given to debtor
  • Equitable assignment: valid without notice but assignee cannot sue without joinder of assignor
  • Consumer debt: FCA regulation applies if purchasing consumer credit debts as a business
  • Cannot assign personal service contracts without consent
  • GDPR: transfer of debtor's data to assignee requires lawful basis
