ℹ️ B2B Terms of Sale — Legal background

B2B terms of sale set the default conditions for all contracts with business customers. They must be incorporated before or at the time of contracting — not afterwards. The Unfair Contract Terms Act 1977 (not Consumer Rights Act) applies.

  • Must be incorporated before or at point of contract
  • Reasonable notice required of exclusion clauses
  • Late Payment of Commercial Debts Act: 8% above base rate
  • Retention of title (Romalpa clause) protects unpaid supplier
  • UCTA 1977 — exclusions must be reasonable
